The Firm has extensive experience in venture capital and private equity in Hong Kong and Mainland China. The Firm represents fund sponsors and institutional investors in the formation of a wide range of private equity funds, including venture capital funds, buyout funds and mezzanine funds.
In the fund formation, the Firm advises the investors on fund structure, investment policies and objectives, and other key issues relating to the operation of the private equity funds. The Firm assists clients in obtaining the SFC authorization of mutual funds or unit trusts for public offering in Hong Kong. In addition to the fund formation, the Firm regularly advises private equity investors in Hong Kong and Mainland China in respect of private equity investments management buyouts, joint ventures, strategic alliances and other equity or debt financings. The Firm also represents the investors in conducting legal due diligence on the investment projects.
